A member without the right to conclude contracts is considered an unauthorized agency if they conclude a contract on CloudSign without authorization and approval from a member with rights (Section 1, Article 113, Civil Code).

With CloudSign, the following methods can be used to ensure that contracts are concluded in an appropriate manner.

Usage

  1. Obtain approval separately from your company, and send or receive documents as a representative

  2. Include a member with the right to conclude contracts as a recipient of documents

  3. Have a member with the right to conclude contracts send or receive the documents

Note that for users of the Paid Plan, the “Forwarding function” is available to forward received documents to a member with the right to conclude contracts.

For example, if a member has received a document but does not have decision-making rights, they can forward the document to another member with decision-making rights in the company. A member with the appropriate rights consenting to the document ensures the legal validity of the document.

All plans also come with the “Sharing function” to sharefor sharing concluded documents. This function adds further convenience for operations involving concluding contracts.
